KPMG has advised GenesisCare on the sale of its Spanish business to Vithas, owned by Goodgrower Group, in a transaction that will strengthen the hospital group's position in oncology through the acquisition of one of Spain's leading private oncology platforms. The transaction, which remains subject to approval by the Spanish National Commission on Markets and Competition (CNMC), involves Vithas acquiring GenesisCare Spain's network of 18 specialised cancer centres and clinical units.
The transaction takes place against a backdrop in which increasing specialisation and the pursuit of greater scale continue to reshape the healthcare sector, driving consolidation aimed at integrating new clinical capabilities and delivering more comprehensive models of care. At the same time, the sale forms part of GenesisCare's strategy to focus its operations on selected geographic markets, marking its exit from Spain.
KPMG Spain advised GenesisCare throughout the entire divestment process, providing strategic, financial and execution support in what was a particularly complex transaction. The engagement brought together professionals from the firm's Corporate Finance (M&A), Transaction Services and Tax teams, who worked in close coordination to structure and execute the deal.
Through this acquisition, Vithas will integrate GenesisCare Spain into the Vithas Oncology Institute (Instituto Oncológico Vithas – IOV), strengthening a care model based on multidisciplinary collaboration, clinical innovation, research and medical education. The integration will significantly enhance the group's capabilities in radiation oncology and medical oncology, further consolidating its position in one of the healthcare sector's most strategic and dynamic segments.
The integration has been designed with the primary objective of expanding and enhancing the care provided to cancer patients and their families. GenesisCare Spain's patients will gain access to Vithas' network of 22 hospitals and 40 medical centres, together with its diagnostic technologies, clinical resources and broad range of medical specialties. In turn, Vithas' patients will benefit from GenesisCare's extensive expertise in radiation oncology and from one of the most advanced technological platforms in the sector.
The Vithas Oncology Institute currently brings together more than 50 physicians specialising in a wide range of oncology subspecialties and provides care to 11,900 unique patients. In 2025 alone, the institute carried out nearly 30,800 consultations and delivered approximately 12,200 chemotherapy sessions and complete treatment cycles. Its activities combine highly specialised clinical care with innovative services such as genetic counselling, molecular diagnostics and cardio-oncology, while maintaining a strong commitment to research and medical education.
The transaction highlights the continued momentum of the healthcare sector, which remains one of the most active markets for investment and corporate transactions, driven by the need to achieve greater scale, increase specialisation and expand clinical capabilities to meet the growing complexity of healthcare delivery.
