Albia IMAP, a leading firm in the Spanish market specialized in advice on mergers and acquisitions (M&A), financing and corporate development for companies in the middle market segment, has advised the BBK Foundation in the analysis of the investment, through a capital increase in Ohmnia Electronics, a company owned by Clerbil, Carmen Lequerica Holding, the Basque Institute of Finance and the Vital Banking Foundation, for its incorporation together with Indar Kartera, Kutxabank’s investment vehicle, to finance the launch of a voluntary takeover bid for 100% of Azkoyen‘s capital for an amount of €244.5 million, conditional on a minimum acceptance of more than 50% of Azkoyen‘s capital.

The transaction will be financed through a capital increase in Ohmnia, which will be attended by the current partners and two new partners, the BBK Foundation and Indar Kartera.

Ohmnia Electronics is a technology and industrial group made up of 20 companies and specialising in electronic and metal manufacturing for sectors such as health, energy, defence, access control and railways. It has a workforce of about 1,000 people and a turnover of around 190 million euros, while its EBITDA is around 27 million
