Spanish investment firm Qualitas Energy has filed with the Spanish Securities Market Commission (CNMV) its new private equity vehicle, Qualitas Energy VI, FCR, aiming to raise EUR 3.25 billion (USD 3.78 billion) to accelerate investments in energy transition and decarbonisation projects.

According to the prospectus filed with the CNMV, the fund will be managed by Q-Energy Private Equity, S.G.E.I.C., S.A., with BNP Paribas S.A., Spanish Branch, as depository, and Ernst & Young, S.L. as auditor.

Qualitas Energy VI, FCR targets institutional investors and high-net-worth individuals, with a minimum commitment of EUR 2 million. The subscription period will remain open for up to 24 months from the fund’s registration date.

The new fund will invest primarily in companies and assets linked to the energy transition, including renewable energy, power grids, batteries and storage, flexible generation, biofuels, biogas, carbon capture, digital infrastructure, data centres, and water desalination, among others.

While maintaining a European investment focus, the fund may invest in any OECD country, with at least two-thirds of commitments expected to remain within the European Union and the United Kingdom.

Aligned with the firm’s ESG strategy, 100% of Fund VI’s investments will pursue environmental sustainability objectives, particularly those related to climate change mitigation, adaptation, and the transition to a circular economy, in accordance with the EU Taxonomy framework. The fund is classified as an Article 9 “dark green” product under the EU Sustainable Finance Disclosure Regulation (SFDR).

Proceeds will be channelled into energy and infrastructure projects enabling emissions reduction and long-term decarbonisation, either through clean energy generation or support for lower-carbon operations.

With this new vehicle, Qualitas Energy strengthens its position as one of Europe’s leading energy transition investors. The Madrid-based firm has already raised around EUR 4.6 billion through its previous funds, investing in assets such as wind, solar PV, concentrated solar power, battery storage, hydro, and renewable natural gas.
