Grant Thornton has advised Aena Desarrollo Internacional S.M.E., S.A., a subsidiary of Aena S.M.E., S.A. Aena, on the acquisition process of 100% of the share capital of the concessionaire company of the Rio de Janeiro–Galeão International Airport Rio de Janeiro–Galeão International Airport (Brazil), in a transaction valued at 2.9 billion Brazilian reais (approximately 483 million euros).

The transaction is part of an assisted sale process through which Aena has been awarded this strategic asset, one of the main airports in Brazil, with closing expected in the second half of 2026, subject to the relevant regulatory approvals and customary conditions.

The Valuations team of Grant Thornton’s Financial Advisory division, led by Javier González and under the direction of Fernando Beltrán, provided advisory services to Aena Desarrollo Internacional through the issuance of a fairness opinion addressed to its shareholders, regarding the financial reasonableness of the bid price in the auction.

Rio de Janeiro–Galeão International Airport is a key asset in the Brazilian airport market, with passenger traffic of 17.8 million in 2025, and strengthens Aena’s position as one of the leading airport operators in the country.

This transaction is part of Aena’s international strategy and represents a significant step in its consolidation in Brazil, where it already operates a broad network of airport infrastructure.

With this deal, Grant Thornton reinforces its positioning as a leading advisor in complex transactions and in the issuance of independent valuation opinions in major corporate deals.
