Evergreen Legal has advised MasOrange on the financing of PremiumFiber, the new network company also partly owned by Vodafone Spain and the Singapore sovereign wealth fund (GIC). PremiumFiber will become the largest fiber-optic network in the country, connecting over 10 million households, with capacity for further expansion in the coming years.

The transaction is structured through a financing package comprising €4.7 billion in senior debt with an investment-grade rating and an additional €700 million in holdco financing, backed by around 20 international financial institutions. This structure will allow PremiumFiber to accelerate its industrial strategy, drive new infrastructure investments, and strengthen its position as a key operator in the development of telecommunications networks in Spain.

Evergreen Legal advised MasOrange on all aspects of Spanish law related to the financing and the structure of the new company, in a complex process requiring coordination across multiple jurisdictions (the United Kingdom, Luxembourg, and Spain) and collaboration with several top-tier international law firms in both M&A and financing transactions.
