Cuatrecasas has advised Grupo Costa and Grupo Arqa on the acquisition, from Fundación Alcoraz, of 95.75% of the share capital of Sociedad Deportiva Huesca, S.A.D. The transaction marks the culmination of a process that began in August 2024, when Costa and Arqa granted financing to Fundación Alcoraz, which proved essential for the rescue, operational continuity and stabilization of the club. That initial financing has now resulted in both business groups taking control of the sports public limited company Huesca S.A.D.
Both Grupo Costa, a well-established agri-food holding company, and Grupo Arqa, focused on promoting and scaling technology companies nationally and internationally, have been involved from the outset in the club’s economic and structural reorganization process, reviewing its viability plan and renegotiating financial agreements and strategic payments.
For SD Huesca, the transaction represents renewed institutional momentum and the arrival of two business groups committed to the sporting project and to its consolidation and growth, ensuring the sustainability and viability of its programs and activities. For Fundación Alcoraz, the deal enables it to resolve its indebtedness and continue carrying out its social and sporting mission across the province under normal conditions. In both cases, the acquisition does not entail any changes to the current governance model or structure.
“We have supported our clients throughout every stage of this process, and we would like to sincerely thank them for the trust they have placed in our team,” said Antonio García Lapuente, who led the advisory work together with Corporate team lawyers Carolina Artigot Pellicena and Ana Giménez Ansó
