Indra Group, a leading global company in the defense, aerospace, and advanced technologies sectors, has reached an agreement with the European fund Waterland Private Equity for the divestment of 100% of Minsait Business Consulting (MBC), Minsait’s strategic business consulting division.

The agreement includes the ALG and NAE brands, as well as the transfer of approximately 1,700 professionals, primarily based in Spain and Mexico. Indra Group will retain the remainder of Minsait’s business perimeter.

The transaction, which is aligned with Indra Group’s Strategic Plan, reflects the company’s belief that accelerating the group’s transformation requires securing the energy, investment, and management focus needed in those areas that are truly strategic to the corporation’s future.

As a result, Indra will be able to redirect resources toward the priorities defining its next phase: strengthening its core businesses (defense, space, air traffic, mobility, IndraMind, and Minsait), while also enhancing advanced industrial and technological capabilities, including cyber defense, radar systems, counter-drone systems, UAVs, satellites and space technology, artificial intelligence, cloud computing, cybersecurity, and quantum computing, among others.

The Cuatrecasas team advising on the transaction was led by Mariano Ucar, Pedro López-Dóriga, and Estela Castillo from the Corporate practice. Commenting on the deal, Mariano Ucar stated: “We thoroughly enjoyed working on this transaction due to the complexity of its structure. We are very grateful to the entire Indra team for entrusting us to support them throughout this process.”
