Wallbox N.V. (NYSE: WBX) (“Wallbox” or the “Company”), a global provider of electric vehicle charging solutions, announced on January 14 to the U.S. Securities and Exchange Commission (SEC) that the Institut Català de Finances (ICF), through Instruments Financers per a Empreses Innovadores, S.L.U. (IFEM), has agreed to make a €5 million equity investment in the Company, on a non-binding basis and subject to the satisfaction of certain conditions precedent.

The proposed investment is part of the previously announced renewed capital structure communicated by the Company on December 1, 2025, and would result in a liquidity injection composed of the following elements:

  • €12.5 million in new commercial commitments provided by participating financial entities, as previously announced, which are expected to be partially guaranteed by a credit insurance company.
  • €5 million in equity investments from long-term strategic shareholders, including Inversiones Financieras Perseo, S.L. (an Iberdrola Group company), Orilla Asset Management, S.L., AM Gestió, S.L., Consilium, S.L., and Mingkiri, S.L.
  • An additional €5 million in equity investment from the ICF, through IFEM, subject to the satisfaction of applicable conditions precedent and the execution of the corresponding documentation.

The execution of the proposed ICF investment and the implementation of the renewed capital structure remain subject to the negotiation, signing, and execution of definitive documentation, within the framework of the Company’s ongoing restructuring process
