STEAG Iqony Group, a portfolio company of Asterion Industrial Partners, has signed an agreement to acquire Uniper Wärme GmbH, marking a key milestone in the decarbonisation of heat supply in the Ruhr area and beyond. With this transaction, STEAG Iqony strengthens its position as one of Germany’s largest providers of climate-friendly district heating, by integrating regional networks and driving greater efficiency, scale, and sustainability.

The deal has been led by Iqony Fernwärme GmbH, a subsidiary of STEAG, which has reached an agreement with Uniper Kraftwerke GmbH, part of Uniper SE, for the acquisition of its district heating unit. This divestment is part of Uniper’s commitments under EU state aid rules.

A heat transition made in the Ruhr

“Today is a great day for the heat transition in Germany’s largest metropolitan region,” said Andreas Reichel, CEO and Chief Human Resources Officer of STEAG Iqony Group. “As one of the country’s largest operators of climate-friendly district heating, this transaction enables us to efficiently integrate networks in the Ruhr area, accelerate decarbonisation, and move forward with a cleaner and more resilient energy model.”

Social responsibility and talent integration

Beyond its energy impact, the company emphasised its commitment to local talent and corporate responsibility. “We are pleased to offer the more than 130 employees of Uniper Wärme a clear and familiar outlook through our industrial experience and long-term vision,” added Reichel. Matthias Ohl, Spokesperson of the Management Board at Iqony Fernwärme, said: “Together with our new, highly skilled and motivated colleagues, we will form an even stronger team to advance the heat transition in the Ruhr region.”

Next steps

Following the signing of the agreement, the transaction is now subject to regulatory approvals. Once granted, the closing of the deal will proceed.
