Iberfrasa, a company in Abac Capital’s portfolio since 2020, and Incasa have announced a preliminary agreement to merge their operations and create a leading European group in third-party manufacturing of personal care and household products. The transaction, expected to close before the end of the year, combines the industrial strength and innovation capabilities of two companies that share the same vision: to offer top-quality products and excellent service to their clients.
With combined revenues of approximately €250 million, around 800 employees, 3 production centers, and more than 90,000 m² of industrial facilities, the merger of Iberfrasa and Incasa positions the new group among the leading European manufacturers in the sector. Over the past five years, both companies have achieved double-digit growth and jointly invested more than €40 million to expand their production capacity and modernize their facilities.
The new organization brings together Iberfrasa’s experience—founded in 1984 by Francisco Rubio, headquartered in Madrid with its main plant in Quintanar de la Orden (Toledo)—and Incasa’s leadership—founded in 1983 by José Luis Pescador, headquartered in Santa Margarida i els Monjos (Barcelona) with production centers in Santa Margarida i els Monjos and Pina de Ebro (Zaragoza). Both companies are benchmarks in third-party manufacturing, offering a wide portfolio of personal hygiene, perfumery, and household care products, with strong expertise in sustainable packaging (doypack) and products certified by Ecocert and Ecolabel. Currently, around 50% of production is exported, and the new group works with leading national and European retailers.
The integration of both companies is based on a collaborative approach and shared growth. The new group will leverage the industrial and commercial synergies of Iberfrasa and Incasa to increase scale, strengthen innovation capacity, and offer clients a broader, more efficient, and competitive service.
Javier Solans, CEO of Iberfrasa, stated: “With this merger, we take a decisive step forward in our growth and in consolidating a leading industrial group in Europe. Incasa brings a strong international presence, a highly qualified team, and significant industrial capacity in the home care segment. Together we strengthen our offer and service, while maintaining what has always defined us: customer focus, quality, and a commitment to service.”
Javier Pescador, Managing Director of Incasa, added: “We share with Iberfrasa the same industrial vision and a culture of customer commitment. This merger will allow us to combine capabilities, broaden our product portfolio, innovate with greater agility, and support our clients in their growth across Europe.”
The new organization will maintain its focus on investment, sustainability, and industrial excellence, with the goal of continuing to develop competitive, sustainable products tailored to the needs of major European distributors and brands. The merger of Iberfrasa and Incasa consolidates the group’s position as a European industrial benchmark, combining scale, innovation, and a strong commitment to quality and customer service.
