CaixaBank Corporate & Investment Banking (CIB) has participated as Mandated Lead Arranger and Bookrunner in the financing of Amplifon's proposed acquisition of GN Hearing, a strategic transaction that marks an important step in the global hearing care leader's international expansion.

The financing consists of a €1.35 billion senior loan, arranged with a syndicate of leading international financial institutions. Together with the proceeds from Amplifon's equity raise completed on May 22, the facility will fund the cash consideration for the acquisition, including transaction costs.

The financing has been coordinated by Goldman Sachs Bank Europe SE and J.P. Morgan SE, acting as Global Coordinators, while CaixaBank, through its Italian Branch, has acted as Mandated Lead Arranger and Bookrunner alongside Banco BPM, BNP Paribas, Cassa Depositi e Prestiti, Crédit Agricole Corporate and Investment Bank, Deutsche Bank, HSBC, ING, Intesa Sanpaolo, Mediobanca and UniCredit. UniCredit also serves as Facility Agent.

The senior loan has a maximum maturity of 24 months, including an extension option, and has been structured on terms and conditions consistent with market standards for comparable transactions.

The proposed acquisition of GN Hearing represents a significant strategic milestone for Amplifon, further strengthening its global leadership in hearing care solutions and services while accelerating its international growth strategy.

White & Case acted as legal advisor to Amplifon in connection with the transaction, while Clifford Chance advised the syndicate of lending banks.

As previously announced by Amplifon on March 16, 2026, the completion of the acquisition of GN Hearing is expected by the end of 2026, subject to customary closing conditions and regulatory approvals
