Atrys Health signs a sale and purchase agreement for the transfer of 100% of Aspy Global Services, S.A.U. (ASPY) to Grupo Echevarne, S.L. for €145 million

Atrys Health has signed a sale and purchase agreement for the transfer of 100% of the shares of Aspy Global Services, S.A.U. (ASPY) to Grupo Echevarne, S.L. for €145 million. The agreement also includes a contingent payment of up to €5 million in the event that the buyer sells the asset to a third party within one year of closing for an amount exceeding the agreed price.

The completion of the transaction is subject to the authorization of regulatory authorities and the approval of the General Shareholders’ Meeting, which will be convened in the coming days. The closing is expected to take place during the first quarter of 2026.

The divestment of the occupational health and safety division allows Atrys to focus its resources on its core businesses of precision medical diagnosis and treatment, strengthen its financial position, and accelerate organic growth by concentrating on business areas where it holds leadership positions and sees greater profitability potential.

Proceeds from the transaction will be used to reduce the Group’s financial debt, bringing the Net Financial Debt / Adjusted EBITDA ratio down to approximately 1.1x (from 3.8x), resulting in an annual saving of around €13 million in financial expenses.

Excluding the prevention area (ASPY) from Atrys Group’s perimeter, the pro forma LTM revenue would amount to €142.5 million, and the Group’s adjusted EBITDA to €28.0 million. The pro forma organic revenue growth for the LTM period would increase from the current +8.2% to +13.4%.
