Cuatrecasas has advised Transfesa, a leading Spanish company in the railway sector, majority owned by Deutsche Bahn Cargo, on its agreement to sell 100% of its subsidiary Semat to the French operator Groupe CAT.
The operation, part of the process of simplifying its business structure, responds to its strategy of focusing resources and capacities on its core business, especially in rail freight transport for the automotive sector.
The transaction, which is expected to be completed this summer, is subject to the approval of the corporate bodies of Deutsche Bahn Group, the German Ministry of Digitalisation and Transport, and the Transfesa Logistics shareholders' meeting.
The Cuatrecasas team responsible for advising the transaction included lawyers Kai Christian Fischer, Irene Moreno-Tapia, Jesús García and Jordi Vergoni.
