Alantra acted as exclusive financial advisor to Vaudoise on its acquisition of a majority stake in Procimmo, a Swiss real estate asset manager.
Through its subsidiary Vaudoise Asset Management SA, Vaudoise has reached an agreement to increase its shareholding and become the majority shareholder of Procimmo, in which it has held a 20% stake since 2021. With the acquisition of Procimmo, and following the acquisition of Berninvest in 2017, Vaudoise is positioning itself as one of the leading players in the Swiss real estate market, with more than CHF 9bn in assets under management.
Subject to regulatory approvals, completion of the transaction is expected in early July 2026. Following completion, Vaudoise will hold 92.27% of Procimmo’s voting rights.
The sale price has been set at CHF 9.50 per share after payment of the ordinary 2025 dividend. Vaudoise aims to obtain full ownership of Procimmo in the long term and intends to carry out a squeeze-out merger following completion of the transaction, under which minority shareholders will receive an amount per share equal to the sale price.
Procimmo will be operated as an external real estate asset management platform under the current management team. The operating entities will be maintained and all employees retained.
