RSM has advised the shareholders of JG Ingenieros on a transaction that will enable the company to become part of a larger engineering group, strengthening its ability to meet the challenges of an increasingly specialised and demanding market.
The acquisition of JG Ingenieros by EC Partners Spanish Bidco marks another milestone in a sector consolidation strategy driven by European private equity in the Spanish engineering market. Following its investments in Incosa and Quinto Armónico, the addition of JG Ingenieros significantly expands the group's presence in high value-added segments, including advanced building engineering, hospitals, research centres, critical infrastructure and data centres. The transaction is underpinned by an investment strategy focused on building a multi-specialist engineering platform capable of combining scale, technical expertise and sustainable growth in an increasingly demanding and consolidated market.
Throughout the process, the shareholders of JG Ingenieros were advised by RSM. The firm's Corporate Finance team was led by Jordi Bellobí and Iñigo Elustondo, Partner and Director of Corporate Finance, respectively, with Iñigo Elustondo coordinating the process and execution of the transaction, supported by Gemma Pedrós, Manager in the same practice. The team advised the shareholders on the assessment of strategic alternatives, the design and execution of a competitive sale process, the coordination of the due diligence process, and the negotiation of the transaction.
