BlueBull, an investment banking firm specialising in mergers and acquisitions and capital raising, has created a team dedicated exclusively to Debt Advisory, positioning itself as the only advisor in Southern Europe specialising in advising companies in the digital economy on their financing through debt structures.

BlueBull is taking a qualitative leap forward by creating a specialised unit that complements its M&A and equity services, allowing it to offer clients 360º solutions in their corporate strategy. This added value, together with its in-depth knowledge of digital business models, drives the company in its vocation for specialisation and personalised advice.

In the current macroeconomic environment of rising interest rates, high inflation and a reduction in the pace of investment by venture capital and private equity funds, debt is emerging as a necessary and attractive alternative for a wide range of companies to diversify their sources of funding.

The integration of the Debt Advisory team gives BlueBull a competitive advantage in being able to advise each company throughout its fundraising cycle, designing solutions that secure growth while minimising dilution and maximising the value of a potential future shareholder exit.

More and more founders are turning to debt instruments, with rounds in 2022 already double those in 2020. In fact, BlueBull already has significant mandates in place.

The business is headed by Diego López Silva, Director of Debt Advisory, who has a long track record in structured finance, project finance and debt advisory with companies such as Alantra, CaixaBank and BNP Paribas. Alongside him, Íñigo de Churruca and Germán Álvarez form the front line of the team.

"Our strategy starts with companies that have raised a Series B or Series A of a relevant size, at which point debt can offer numerous advantages over equity, such as lower dilution, lower costs - financial and political - and a faster turnaround than an equity round," says López Silva.

However, BlueBull's scope is not limited to venture or growth debt, but aims to accompany clients through all stages of growth until the company is "bankable", i.e. able to access long-term financing in a more traditional, competitive and unsecured format.

Each stage and each company has its own particularities, so the aim is to accompany clients through all stages of growth, designing tailor-made structures together with the most appropriate national and international financiers for each stage.

To this end, BlueBull has unique access to a vast universe of international debt funds, each with a different profile depending on the dynamics of the company, the unit economics, the business model and the type of financing sought.

"As a new player in the ecosystem, it is important that our clients understand the value we bring. Our process is similar to that of an M&A advisor: we prepare the company's documentation in a way that financiers want to understand, we attract the liquidity available on the domestic and, above all, the international market, and we structure and negotiate the best deal for our clients," says the Debt Advisory Director.

Moreover, in such a dynamic sector, with such diverse and changing needs, the scope is not limited to structured corporate transactions, but BlueBull's objective is to advise its clients on tailor-made solutions for every need, such as acquisition financing, off-balance sheet financing, project financing or warehouse financing.

The debt team complements BlueBull's existing equity expertise. As a result, the firm is able to offer its clients a comprehensive service, coordinating a differentiated process through two specialised teams.
