We are a group of executives and entrepreneurs from various fields united to create a different fund where we value not only the economic returns but also the development of sustainable initiatives, support for rural modernization and respect for the environment.

BeHappy Investments is an investment company not subject to CNMV regulation.

The vehicle is a limited company that invests its capital in other companies either directly or by creating vehicles for that purpose.

The fund's governance lies in its Board of Directors and an Advisory Board composed of the 7 partners with the largest shares. All major decisions at BeHappy Investments are
voted on by its partners.

To monitor and control the invested companies, BeHappy Investments appoints an Advisor. Each Advisor reports to BeHappy on a quarterly basis, providing financial statements and the progress of the business plan of the company in which they serve as an Advisor, in addition to conveying any other relevant information.

INVESTMENT THESIS

We invest in seed and early-stage companies that have already gained traction and are projected to reach their break-even within a short timeframe.

We provide a BeHappy lnvestment advisor to support them on their path to success.

We support their communications and marketing efforts to enhance their brand visibility and increase their market value.

MINIMUM TICKET SIZE F0R P0TENTIAL MEMBERS: 100 TH0USAND € (+20% Administrative Fees)

The average ticket invested so far ranges from 300.000€ to 500.000€, although it's not predefined and it's decided on a case-by-case basis. We always participate with at least 5% of the company invested. We also provide representation in the Board and help lead the decision-making in the communications strategy of the companies. The goal is to increase its recognition in the market and, therefore, its value to both customers and investors.

The companies in which we invest must meet these 5 characteristics:

1. lnnovative idea: We are looking for original and disruptive projects capable of making users and investors fall in love with them.

2. TOP Team: At BeHappy lnvestments we are looking for leaders focused on carrying forward and staying in their projects, who have communication skills, humility to accept advice and constructive criticism, and the ability to be flexible in the market when the situation requires it.

3. Moment: We are especially (but not exclusively) focused on early-stage companies that have already gained traction and with a horizon of break-even within no more than two years.

4. Scalability: They must be projects with the capacity for exponential growth, either nationally or internationally, and if possible without requiring to multiply structure.

5. Exit: although there is no defined predetermined duration in our investments, because we understand that each one has its unique characteristics, we have an estimated exit horizon of around 5 years when the project allows it.
