Capittal is an M&A advisory firm specialising in the sale, acquisition and valuation of mid-market companies in the Iberian Peninsula. As part of the Navarro Tax & Legal group, the firm provides a fully integrated service covering both transaction advisory and the related tax and legal aspects of each deal.

We advise companies with revenues ranging from €5 million to €50 million, primarily in sectors undergoing active consolidation, where a limited number of large corporate groups acquire SMEs through successive transactions to build market-leading platforms. We mainly operate in the €1 million to €10 million EBITDA segment and leverage an extensive network of contacts to bring international buyers into every process, maximising the value of the businesses we advise.

Capittal also works alongside a network of partner firms located throughout Spain.

At Capittal, we believe the value we bring to every transaction lies in our close relationship with clients and our team's commitment to each project. At a time when technology has significantly streamlined financial analysis, true added value comes from earning our clients' trust, identifying opportunities and successfully navigating complex negotiations.

The firm is led by:

- Samuel Navarro — Partner, M&A and Tax. Samuel leads corporate finance transactions and oversees the tax structuring of each deal, with particular expertise in family-owned businesses, corporate reorganisations and wealth planning.

- Lluís Montanya — Partner, M&A. Lluís manages mid-market sell-side mandates from beginning to end—including valuation, buyer identification and negotiations—and regularly advises international groups on acquisition mandates across the Iberian market.

Capittal's team consists of 14 professionals integrated within the Navarro Tax & Legal group, forming a multidisciplinary team of more than 60 professionals dedicated to serving clients.

- Sell-side advisory: We manage competitive sale processes for founders seeking to maximise value, preserve confidentiality and ensure business continuity.

- Buy-side advisory: We advise growth companies, family offices, search funds and private equity-backed platforms on acquisitions. Our focus is primarily on supporting international groups looking to enter or expand within the Iberian market.

- Independent valuation: Robust valuation reports based on discounted cash flow (DCF), publicly traded comparables and precedent transactions.

- Transaction Services: Due diligence, support for search funds and corporate restructurings.

- Legal, tax and strategic advisory: Financial consulting, outsourced CFO services and operational advisory aimed at improving financial KPIs.

We have developed particular expertise advising service businesses—including professional services firms (such as accounting and tax advisory practices) and technical service providers (including electronic security and fire protection)—as well as industrial distribution companies and other Spanish mid-market sectors characterised by active consolidation

Capittal's competitive advantage lies in its ability to deliver fully integrated, 360-degree M&A advisory services for the Spanish mid-market. As part of Navarro Tax & Legal, the combined team comprises more than 60 professionals with expertise across every discipline required to execute a successful transaction, including an in-house M&A advisory team together with dedicated legal, employment, tax and accounting specialists. This enables Capittal to act as a single trusted adviser throughout the entire transaction process.

In addition, we make extensive use of technology to manage highly competitive sale processes involving dozens of potential buyers for each mandate. Our approach places particular emphasis on attracting international acquirers, helping clients maximise the value achieved in the sale of their businesses.

Our clients fall into two main categories:

1. Buyers – Buy-side mandates

Large multinational corporations—whether publicly listed, private equity-backed or family-owned groups—seeking to establish or expand their presence in Spain through acquisitions. We assist them in identifying and approaching the most suitable acquisition targets based on their strategic growth objectives.

2. Sellers – Sell-side mandates

Spanish SMEs and larger privately owned companies that entrust us with the management of their sale process, whether due to succession planning challenges, favourable market conditions or the search for either a financial investor or a strategic industrial partner capable of accelerating the next stage of their growth. These businesses typically generate annual revenues of between €5 million and €50 million and EBITDA of between €1 million and €10 million.
