US investment fund sells stake in the Colombian gas company to its majority shareholder, Empresa de Energía de Bogotá

The Rohatyn Group (“TRG”), an investment fund focusing on emerging markets, has sold 31.92% of Transportadora de Gas Internacional S.A. ESP (“TGI”) to Empresa de Energía de Bogotá S.A. ESP, the majority shareholder of the Colombian natural gas transportation company. The transaction is valued at €650 million.

Cuatrecasas, Gonçalves Pereira advised TRG on the sale through its corporate and commercial, and tax practices. Leading the transaction were partners Miguel Ángel Melero (Corporate and Commercial Practice, New York), Íñigo Aguirrezabala (Tax Practice, New York), Javier Rodríguez (Tax Practice, Barcelona), senior associate Isabel Gandoy (Corporate and Commercial Practice, New York) and associates Eduardo Pérez (Corporate and Commercial Practice, Madrid) and Marc Amorós (Tax Practice, Barcelona).

TRG, with headquarters in New York, acquired approximately 32% of TGI in March 2011 to finance an extension of the Colombian company’s gas pipeline system. TRG recently acquired Citi Venture Capital International (“CVCI”), an emerging-market private-equity investment firm formerly owned by Citigroup.

TGI is Colombia’s largest natural gas transportation company with 4,000 kilometers of gas pipelines in the country’s main urban and industrial centers.
